Terms at a glance
These Terms explain the rules for accessing the Telomerz Tech website, community, software platforms, APIs, events, learning activities and related services. By using a Service, you agree to the terms that apply to that use. If you access a Service for an organisation, you must have authority to bind that organisation or act within the access it has authorised.
You must provide accurate information, protect your account and authentication credentials, use the Services lawfully, respect intellectual-property and privacy rights, and avoid conduct that could harm the Services or other people. Some offerings may require an order form, subscription, payment or additional terms. Those documents become part of the agreement for that offering.
This summary is only an introduction and does not replace the complete Terms below. Important provisions concerning fees, suspension, disclaimers, liability, indemnification, governing law and termination appear later and should be read carefully.
Acceptance of terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Telomerz Technologies Private Limited ("Telomerz Tech", "we", "us", or "our"). These Terms govern your access to and use of the telomerztech.com website, our software platforms, APIs, and the Telomerz Tech community (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
The person accepting these Terms confirms that they are legally capable of entering into a binding agreement. If you use the Services on behalf of a company, institution, team or other organisation, “you” also refers to that organisation, and you represent that you have authority to accept these Terms or to use the Services within an agreement already accepted by an authorised representative.
If you are below the age at which you may independently enter into these Terms under applicable law, you may use a Service only through a process lawfully authorised by a parent, guardian, educational institution or other responsible organisation. Services intended only for adults or business users must not be accessed by a child.
If your organisation has entered into a master subscription agreement, order form, statement of work, data-processing agreement, customised software licence or another written agreement with Telomerz Tech, that document governs the subject it specifically addresses. If there is a direct conflict, the signed or expressly accepted agreement takes priority to the extent of the conflict. These Terms continue to apply to matters that the separate agreement does not address and to use of the public website and community outside the contracted service.
Additional terms, programme rules, acceptable-use requirements or policies may be presented for a particular feature, event, course, beta service, integration or promotion. By using that offering, you agree to those additional terms. If an additional term conflicts with these Terms, the more specific term controls only for the relevant offering and only to the extent of the conflict.
The Services are offered from India. You are responsible for determining whether your access and use are lawful in your location and for complying with laws that apply to you, your content and your organisation.
Accounts and community registration
To access certain features of our software or participate in the Telomerz Tech community, you may be required to register for an account.
You agree to provide accurate, current and complete registration information and to keep it reasonably up to date. You must not impersonate another person, create an account using information you are not authorised to use, misrepresent your organisation or role, or attempt to obtain access intended for another user.
You are responsible for maintaining the confidentiality of passwords, access tokens, refresh tokens, recovery methods and other authentication credentials associated with your account. Credentials must not be shared except through an authorised account-management function. You should use reasonable security practices, including unique credentials, protected devices and prompt sign-out from shared equipment.
You are responsible for activity performed through your account to the extent permitted by law, including activity performed by a person to whom you intentionally provide access. Notify us promptly at info@telomerztech.com if you believe an account, credential or session has been lost, stolen or accessed without authorisation. We may require verification before changing account ownership, resetting access or disclosing account information.
An organisation that controls a customer account may appoint administrators, invite and remove users, assign roles, configure settings, access organisation-controlled information and make decisions concerning the organisation’s workspace. Individual users acknowledge that their use may be subject to the organisation’s policies and instructions. Questions about administrator access should be directed to the relevant organisation.
Community registration does not guarantee admission to every event, project, opportunity or programme. We may apply capacity, eligibility, conduct, safety, relevance or operational criteria in administering participation. Information about an activity may specify additional requirements, deadlines and selection conditions.
An account is personal to the authorised user unless the Service explicitly supports a shared or service account. You may not sell, rent, transfer or sublicense an account. We may reject or require a change to an account name that is misleading, infringing, abusive, technically disruptive or likely to create confusion.
Acceptable use
You agree to use our Services only for lawful, authorised purposes and in accordance with these Terms. You must not use a Service to violate any national, state, local or international law or regulation; infringe intellectual-property, privacy, confidentiality, publicity or other rights; breach a contractual or fiduciary duty; facilitate fraud or deception; or promote, request or distribute unlawful material.
You must not attempt to gain unauthorised access to an account, system, network, API, database or restricted area; bypass authentication, rate limits, access controls or usage restrictions; probe or test a vulnerability without prior written authorisation; interfere with service to another user; or conceal the origin of activity in order to evade security or enforcement.
You must not introduce or distribute malware, ransomware, spyware, viruses, worms, logic bombs, corrupted files or other harmful code. You must not use the Services to conduct denial-of-service activity, credential attacks, unsolicited bulk communications, scraping that materially burdens systems, automated account creation, abusive data extraction or any action that could damage, disable, overburden or impair a Service.
Except to the extent a restriction is prohibited by law or expressly permitted in writing, you must not reverse engineer, decompile, disassemble, decode, translate or attempt to discover source code, non-public algorithms or underlying components of our software. You must not remove proprietary notices, circumvent technical limitations, create a competing service by systematically copying protected elements, or resell access without authorisation.
You must not post or transmit material that is threatening, harassing, hateful, defamatory, obscene, exploitative, discriminatory or intentionally misleading, or that exposes another person’s private information without permission. You must not impersonate Telomerz Tech, its personnel or another participant, manipulate identifiers, falsely state an affiliation, or use the community to pressure, deceive or exploit another person.
You must not upload information unless you have the rights, permissions and lawful basis needed to use and share it. Do not place highly sensitive information, confidential credentials, payment-card details, government identifiers, health information or another person’s secrets into a general form, community space or demonstration environment that is not designed for that information.
You must comply with reasonable technical documentation, rate limits, security directions and usage limits associated with the Service. You may not use output, access or data from the Services to train or improve a competing model or product where doing so infringes our rights, violates confidentiality or exceeds the licence granted to you.
We reserve the right to suspend or terminate your access to the Services immediately if we reasonably suspect a violation of these Acceptable Use rules.
We may investigate suspected misuse and preserve relevant records. Where appropriate, we may remove content, restrict a feature, require corrective action, notify an organisation administrator, report unlawful conduct to a competent authority or cooperate with a valid legal request. Enforcement decisions take account of available evidence, severity, repetition, risk to others and legal obligations.
Service descriptions, availability and changes
Telomerz Tech builds and provides software, technology services, website information, community activities and related offerings. The exact features, supported devices, technical requirements, usage limits, implementation responsibilities, support arrangements and service period for a paid product are described in the applicable webpage, proposal, demonstration, documentation, order form or separate agreement.
Public descriptions, demonstrations, prototypes, roadmaps and marketing materials are intended to explain the general direction or capabilities of an offering. They do not create a commitment to deliver a future feature, integration, release date or business outcome unless that commitment appears in a written agreement signed or expressly accepted by an authorised Telomerz Tech representative.
We may improve, update, replace or discontinue a feature in order to simplify use, maintain security, comply with law, address technical limitations or respond to changing customer needs. For a paid service, material changes and discontinuation will be handled according to the applicable order form or customer agreement. Free, preview, community and public website features may change or end without a guaranteed notice period, subject to applicable law.
The Services may be interrupted for maintenance, updates, emergency remediation, infrastructure failures, internet or power outages, third-party incidents, security events or circumstances outside reasonable control. We aim to operate dependable services but do not promise uninterrupted availability unless a written service-level commitment expressly says otherwise.
You are responsible for obtaining compatible devices, network access, browsers and other systems needed to use a Service. You are also responsible for configuring your environment, maintaining authorised backups of information under your control and following implementation and security instructions supplied for the relevant product.
Any beta, pilot, trial, preview or early-access feature may be incomplete, change substantially, perform unpredictably or be withdrawn. Unless expressly agreed otherwise, such a feature is provided for evaluation, must not be used for production-critical activity, and is not subject to a service-level or long-term availability commitment.
Orders, subscriptions, fees, taxes and payment
Some Services are free and others require a subscription, project fee, event fee, course fee or other payment. The price, currency, billing interval, included usage, subscription period and any renewal arrangement will be shown before purchase or stated in an order form, proposal, invoice or separate agreement. You agree to pay all amounts properly incurred under the purchasing process you authorise.
Prices may exclude goods and services tax, withholding, duties or other governmental charges unless the relevant document states that they are included. You are responsible for taxes associated with your purchase except taxes imposed on Telomerz Tech’s net income. If law requires you to withhold an amount, you must provide valid documentation and cooperate in applying any available relief or credit.
Payments may be handled by an independent payment provider. By selecting a payment method, you authorise the provider and relevant financial institutions to process the transaction under their own terms. Telomerz Tech generally receives a transaction reference, amount, currency and status rather than full card or bank credentials. A payment is complete only when the provider confirms successful settlement.
If an amount is overdue, we may send reminders, restrict paid functionality, suspend performance or exercise another remedy allowed by the applicable agreement and law. You must raise a good-faith billing dispute promptly and provide enough detail for the charge to be reviewed. The undisputed portion remains payable.
Automatic renewal applies only where it is clearly disclosed in the purchasing process or agreed in writing. The renewal price, notice and cancellation rules are those presented for the relevant offering. Cancellation normally stops a future renewal and does not retroactively cancel a completed billing period unless the applicable terms or law provide otherwise.
Fees are non-refundable after delivery or the start of the applicable access period except where the offering states a refund policy, Telomerz Tech agrees otherwise in writing, the Service was not supplied as promised and an applicable remedy requires a refund, or consumer law provides a non-excludable right. Event and course cancellation, substitution and rescheduling rules may be stated on the relevant registration page.
Promotional pricing, credits, trials and discounts may be subject to eligibility, time, quantity and account limits. Unless stated otherwise, they have no cash value, cannot be transferred, may not be combined and expire when the stated promotion or service period ends.
Community, events and learning activities
Community membership is intended to support respectful exchange, learning, collaboration and access to relevant activities. Membership does not create employment, partnership, agency, professional accreditation, guaranteed mentorship, placement, investment, business opportunity or entitlement to a particular event or benefit.
Events, workshops, courses and projects may have capacity limits, prerequisites, attendance expectations, submission deadlines and conduct rules. We may make reasonable changes to a schedule, speaker, instructor, venue, delivery method or programme content. If a paid activity is cancelled or materially rescheduled, any transfer, credit or refund will be handled under the terms disclosed for that activity and applicable law.
You are responsible for evaluating information shared by speakers, instructors, participants and community members. Unless expressly stated otherwise, such information is general educational or professional discussion and is not legal, financial, medical, employment or other regulated professional advice. Telomerz Tech does not guarantee that participation will produce a job, qualification, revenue, investment result or other outcome.
You must respect confidentiality, intellectual-property rights, privacy and personal boundaries during an activity. Recording, photographing, scraping or redistributing a session, participant list, private discussion or learning material requires permission from the relevant rights holder and any consent required from people depicted or recorded.
We may moderate participation, remove content, refuse admission or remove a participant whose conduct creates a safety, legal, disruption or integrity concern. Serious misconduct may affect access to other community activities. Where reasonable, we may consider context and allow the person to respond, but immediate action may be necessary to protect participants or comply with law.
Intellectual property
The Services and all of their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Telomerz Technologies Private Limited, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use, or internal business purposes in accordance with your subscription plan. You must not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any of the material on our Services without our prior written consent.
Subject to your compliance with these Terms and payment of applicable fees, Telomerz Tech grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the relevant Service during the authorised period for the purpose and number of users stated in the applicable offering. This is a right to use the Service, not a sale or transfer of the software or underlying intellectual property.
Telomerz Tech and its licensors reserve all rights not expressly granted. No implied licence arises from these Terms. You may not use our names, logos, product names, domain names, trade dress or other brand elements in a way that suggests endorsement, partnership or affiliation without prior written permission.
Materials made available for download may carry a separate licence or usage notice. That notice governs the particular material. Open-source components included in software remain subject to their applicable open-source licences, and those licences control if they provide rights that differ from these Terms.
You may make a reasonable number of internal copies of documentation where needed for authorised use, provided all proprietary notices remain intact. No right is granted to publish, sell or broadly distribute documentation, course materials, interface designs, datasets or other protected content.
User content and feedback
Our Services, particularly the community forums, may contain interactive features that allow you to post, submit, publish, or transmit content or materials (collectively, "User Content").
You retain ownership of any intellectual property rights that you hold in your User Content. However, by providing User Content, you grant Telomerz Tech a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and providing the Services.
If you choose to provide us with feedback, suggestions, or ideas regarding the software ("Feedback"), you agree that we may use such Feedback without any obligation or compensation to you.
You represent that you own your User Content or have all rights, notices, permissions and lawful bases necessary to submit it and grant the licence in these Terms. Your User Content must not infringe another person’s intellectual property, privacy, confidentiality, contractual or other rights and must comply with the acceptable-use requirements above.
The licence to User Content is limited to what is reasonably needed to host, store, reproduce, format, transmit, display, back up, secure, moderate and otherwise operate or improve the relevant Service. It allows us to use service providers acting on our behalf and to make content available to the audience you select or the workspace in which you submit it. It does not transfer your ownership to Telomerz Tech.
You are responsible for keeping your own copy of User Content where continued availability is important. We may remove or restrict content that violates these Terms, creates legal or security risk, exceeds technical limits or must be removed under a valid legal request. We are not required to preserve content indefinitely after account closure, subscription expiry or termination.
If you send feedback, suggestions, enhancement requests, concepts or ideas, you allow us to use, adapt and commercialise that feedback without restriction, attribution, confidentiality obligation or compensation, provided we do not publicly identify you as the source without permission. Do not submit feedback that you are not authorised to provide.
Customer data, privacy and confidentiality
Our Privacy Policy explains how Telomerz Tech handles personal information when it determines the purpose and means of processing, including information collected through the public website, enquiries, community registration, events, communications and recruitment. By using the Services, you acknowledge that personal information will be handled as described in that policy and any more specific notice presented at collection.
For a business service in which Telomerz Tech processes personal information on behalf of a customer, the customer is responsible for determining the lawful purpose of processing, providing required notices, obtaining any required permissions, responding to individuals and configuring authorised access. Telomerz Tech processes that customer-controlled information according to the applicable agreement and documented instructions, subject to law.
You must not submit personal information or confidential material to a Service unless the Service is intended to handle it and you have authority and a lawful basis to do so. You are responsible for the accuracy, quality and legality of information you or your users supply, the means by which it was obtained and the instructions you give concerning its processing.
If we disclose non-public technical, commercial or security information that is identified as confidential or would reasonably be understood as confidential, you must protect it using at least reasonable care and use it only for the purpose for which it was disclosed. Confidential information does not include information that you can demonstrate was lawfully known without restriction, becomes public without breach, is independently developed without use of the information or is received lawfully from another source without a duty of confidence.
A person may disclose confidential information if required by law or valid legal process, provided that, where legally permitted, the other party receives prompt notice and reasonable assistance to seek protective treatment. Only the portion legally required should be disclosed.
Security is a shared responsibility. We use safeguards designed for the relevant Service, while you are responsible for user access, device security, credentials, configurations, lawful instructions and timely removal of access that is no longer authorised. A separate customer agreement may allocate additional security, breach-notification, return and deletion obligations.
Third-party integrations
Our software may contain links to or integrate with third-party websites, applications, or services that are not owned or controlled by Telomerz Tech. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You access them entirely at your own risk.
An integration may require you to create a third-party account, accept that provider’s terms and authorise information to move between services. You are responsible for reviewing the permissions requested and ensuring that you have authority to connect the relevant account and transfer the relevant information.
Third-party services may change, restrict or discontinue their interfaces or availability. Those changes may reduce or end an integration even if the Telomerz Tech Service remains available. We do not guarantee a third party’s performance, security, accuracy, support or continued compatibility.
If you enable an integration, you instruct us to exchange information with the selected provider as necessary to operate it. Disabling the connection usually stops future exchanges but does not automatically delete information previously received by either service. Each provider is responsible for the information it independently controls.
Links are provided for convenience and do not necessarily imply endorsement. Transactions between you and a third party, including payment, delivery, support and dispute resolution, are governed by your agreement with that party unless Telomerz Tech expressly states that it is the supplier.
Suspension, termination and account closure
You may stop using a free Service at any time. You may request closure of an account through an available account control or by contacting us, subject to verification. Ending use does not cancel an outstanding payment, remove a legal obligation that already arose or require deletion of a record that law or a valid operational need permits us to retain.
Paid subscriptions and customer projects may be terminated or not renewed only as stated in the applicable order form or separate agreement. Unless that agreement provides otherwise, deleting an individual login does not terminate the organisation’s subscription, and stopping use does not by itself create a refund.
We may suspend or restrict access where reasonably necessary to address suspected misuse, unauthorised access, non-payment, security risk, harm to another person, excessive technical burden, a legal requirement or a material breach of these Terms. We may act immediately when delay could increase harm. Where appropriate and lawful, we will provide notice and an opportunity to remedy the issue.
We may terminate access for a material or repeated breach, failure to cure a remediable breach within a reasonable period after notice, unlawful use, prolonged account inactivity where announced, discontinuation of a free offering or another ground allowed by the applicable agreement or law.
After termination, the right to access and use the affected Service ends. You must stop using protected software, documentation and credentials and, where required, return or destroy confidential materials. User Content and customer data may be exported, returned, retained or deleted according to the applicable service functionality, customer agreement, retention policy and law. You should export information you need before termination where the Service provides that ability.
Provisions that by their nature should continue after termination remain effective, including provisions concerning accrued payment obligations, ownership, feedback, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution and general interpretation.
Disclaimers
To the fullest extent permitted by applicable law and except for a warranty expressly stated in a signed customer agreement, the Services are provided on an “as is” and “as available” basis. Your use of a free, community, preview or public website Service is at your own discretion and risk.
Telomerz Tech disclaims implied, statutory and other warranties to the extent they may lawfully be disclaimed, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement and compatibility. We do not promise that a Service will meet every requirement, produce a particular commercial or personal outcome, be available without interruption, be entirely error-free, preserve every item of information indefinitely or be free from all security threats.
Information on the website and within community or learning activities is provided for general informational purposes. Although we aim to keep our own descriptions accurate, technology, regulations, prices, availability and third-party information may change. You should verify information that is material to a purchasing, legal, financial, employment, security or other significant decision and obtain appropriate professional advice where needed.
Telomerz Tech is not responsible for opinions, advice, offers, statements or other content supplied by community participants, event speakers, customers or unrelated third parties. We may moderate content but do not promise to review every submission, verify every identity or endorse every viewpoint.
Any estimate, implementation schedule, roadmap or expected result depends on assumptions and circumstances that may change. It is not a guarantee unless expressly included as a binding commitment in the applicable written agreement.
Nothing in these Terms excludes a warranty, guarantee, condition, remedy or other right that cannot lawfully be excluded or limited, including a non-excludable consumer right that applies to you. Where such a right applies, these Terms operate only to the maximum extent permitted by law.
Limitation of liability
Nothing in these Terms excludes or limits liability to the extent that exclusion or limitation is prohibited by applicable law. Any non-excludable liability, statutory remedy or consumer protection continues to apply.
Subject to that statement and to the fullest extent permitted by law, Telomerz Tech, its affiliates and their respective officers, directors, employees, contractors, agents, licensors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, opportunity, business interruption or data, arising from or related to the Services, even if the possibility of that loss was communicated.
For a free public website, free community feature, trial, beta or preview Service, and to the fullest extent permitted by law, Telomerz Tech’s aggregate liability arising from or related to that Service will not exceed the greater of the amount you paid specifically for it during the three months before the event giving rise to the claim and INR 1,000.
For a paid Service governed only by these Terms, Telomerz Tech’s aggregate liability arising from or related to that Service will not exceed the fees actually paid by you for the affected Service during the twelve months immediately before the event giving rise to the claim. If a master agreement, order form or statement of work contains a different liability framework, that framework applies to the service governed by it.
The limitations apply regardless of whether a claim is framed in contract, tort including negligence, statute, misrepresentation, restitution or another legal theory, and regardless of the number of claims. Multiple claims do not increase the applicable aggregate limit.
Telomerz Tech is not responsible for loss caused by your unauthorised use, failure to protect credentials, unlawful or inaccurate User Content, unsupported configuration, modification not made by us, continued use after a warning, or a third-party service outside our control, to the extent the loss was caused by that circumstance.
The allocation of risk in this section is an essential basis of the agreement and applies to the maximum extent permitted even if a limited remedy does not fully compensate a loss. It does not limit an obligation to pay properly due fees or a party’s liability that the applicable law does not allow to be limited.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Telomerz Tech, its affiliates, licensors and service providers, and their respective officers, directors, employees, contractors and agents, from third-party claims, damages, judgments, settlements, penalties, costs and reasonable legal fees arising from your unlawful use of the Services, your material breach of these Terms, your User Content, your infringement of another person’s rights or your unauthorised access to the Services.
This obligation applies only to the extent the claim was caused by an act or omission for which you are responsible. It does not require you to indemnify a Telomerz Tech party for that party’s own fraud, wilful misconduct or liability that cannot lawfully be transferred.
We will provide reasonably prompt notice of an indemnified claim, subject to any restriction imposed by law or the relevant proceeding. You may participate in the defence with counsel reasonably acceptable to us. You must not settle a claim in a manner that admits wrongdoing by, imposes an obligation on or fails to fully release a Telomerz Tech party without our prior written consent, which will not be unreasonably withheld.
If you use the Services as a consumer, this section applies only to the extent a consumer indemnity is lawful, fair and enforceable in your circumstances. A separate customer agreement may contain a different or mutual indemnification process for the service it governs.
Governing law and jurisdiction
All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of India, without giving effect to any choice or conflict of law provision or rule.
Before starting formal proceedings, you and Telomerz Tech are encouraged to send a written description of the dispute and allow a reasonable period for good-faith efforts to resolve it. A notice to Telomerz Tech should be sent to info@telomerztech.com with enough information to identify the relevant account, transaction or interaction and the resolution requested.
Subject to any forum or remedy that applicable law gives you and does not allow these Terms to restrict, a legal suit, action or proceeding arising out of or related to these Terms or the Services shall be brought before a competent court in Kerala, India. Each party submits to the jurisdiction of those courts to the extent legally permitted.
Nothing in this section prevents either party from seeking urgent interim or protective relief from a court of competent jurisdiction where delay could cause irreparable harm, compromise security, misuse intellectual property or defeat the purpose of the proceeding.
If you qualify as a consumer, you may have a right to use a consumer commission, grievance mechanism or court in a location provided by applicable consumer law. These Terms do not remove a forum or remedy that cannot lawfully be waived.
Events outside reasonable control
Neither party is responsible for delay or failure to perform a non-payment obligation to the extent caused by an event beyond its reasonable control that could not reasonably have been prevented or overcome. Such events may include natural disasters, severe weather, epidemic or public-health emergency, war, terrorism, civil unrest, labour disruption, governmental action, court order, power or telecommunications failure, internet routing failure, widespread cloud or infrastructure outage and malicious cyberattack despite reasonable safeguards.
The affected party should take reasonable steps to reduce the impact, resume performance when practical and communicate material effects where circumstances allow. This section does not excuse an obligation that could reasonably be performed through an available continuity measure and does not permanently excuse payment for a Service already supplied.
If a force-majeure event materially prevents a paid Service for an extended period, any suspension, service credit or termination right will be determined by the applicable customer agreement and law. For free and community offerings, we may reschedule, modify or discontinue the affected activity.
General terms
These Terms, the Privacy Policy and any documents expressly incorporated into them form the agreement for the use they govern. They replace prior or contemporaneous statements about that same subject, but they do not replace a separate signed customer agreement that is intended to govern the relevant Service.
If a provision is held invalid, unlawful or unenforceable, it will be interpreted or limited to the minimum extent needed to make it enforceable where permitted. If it cannot be preserved, it will be severed, and the remaining provisions will continue in effect.
A failure or delay in exercising a right is not a waiver of that right. A waiver is effective only if clearly given by an authorised party and applies only to the specific circumstance for which it is given.
You may not assign or transfer these Terms, an account or a right to use the Services without our prior written consent, except where applicable law prevents that restriction. Telomerz Tech may assign these Terms to an affiliate or in connection with a merger, reorganisation, financing or transfer of the relevant business, provided the assignment does not remove a non-excludable right.
The parties are independent contractors. These Terms do not create a partnership, joint venture, franchise, fiduciary, employment or agency relationship, and neither party may bind the other unless separately authorised in writing.

Words such as “including” mean “including without limitation.” A reference to law includes amendments and replacement provisions as they apply. Electronic acceptance, records and communications may be used to the extent recognised by applicable law.
Notices about ordinary service operation may be delivered through the Service, the website or the email address associated with an account. Formal notices under a customer agreement must follow the notice method specified in that agreement. You are responsible for keeping your contact address current.
No person other than you, Telomerz Tech and a party expressly granted a right under these Terms is intended to enforce them, except that Telomerz Tech affiliates, licensors, service providers and personnel may rely on protections expressly stated for their benefit.
Changes to these terms
We may revise these Terms to reflect changes in the Services, security needs, business practices or legal requirements. The “Last updated” date below identifies the date of this version.
For changes that are not material, the revised Terms may take effect when posted. If a change materially reduces rights or increases obligations for an ongoing paid Service, we will provide reasonable advance notice through the Service, by email or through another appropriate channel unless an urgent legal or security reason requires faster action.
A revised term applies prospectively from its stated effective date. Continued use after that date constitutes acceptance where permitted by law. If you do not accept a material change, you must stop using the affected free Service or exercise any cancellation or termination right available under the applicable paid-service agreement before the change takes effect.
